Any government contractor that is subcontracting a portion of its work to another company needs to include certain prime contract requirements down through the supply chain. But where a subcontractor may balk at the prospect of accepting hundreds of clauses without discussion, companies often engage in a negotiated back-and-forth, trying to figure out what clauses must be flowed down, and what clauses might be flowed down to help the companies meet the customer’s requirement. In this course, experienced Government contracts attorney David Gallacher will discuss the core list of mandatory flowdowns, while also discussing other standard terms and conditions that companies should consider when negotiating a subcontract.

Topics Include:

  • Identifying the FAR clauses that must be flowed down to commercial item subcontractors
  • Exploring the tension between flowing down too many and too few contract clauses
  • Discussing other “standard” clauses that typically show up in government subcontracts
